FINEMCA Electronic Wallet Services: Terms and Conditions

Welcome to FINEMCA!

This User Agreement ("Agreement") is a legally binding contract between you ("User", "you", "your") and Finemca Payment Inc. formerly named Clé KuCu Solution de Paiement Inc. d.b.a. Finemca (herein after called "FINEMCA"), a Money Services Business (MSB) regulated by Revenu Québec and the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC). This Agreement governs your use of FINEMCA's Digital Wallet services and associated features. By signing up for a FINEMCA Digital Wallet account and accessing its services, you agree to comply with this Agreement, including its terms on dispute resolution, limitations of liability, and all related policies.

Please read this Agreement carefully as it outlines your rights, obligations, and responsibilities in using FINEMCA services.

1. Overview of FINEMCA Services

FINEMCA provides Digital Wallet services that allow users to store funds, transfer money, exchange currency, make electronic payments, and receive funds across Canada, the United States, and selected Latin American and Caribbean countries. The services offered include but are not limited to:

  • Peer-to-peer (P2P) payments: Send and receive money from family, friends, and trusted contacts.
  • Merchant transactions: Make purchases from authorized businesses using your Wallet.
  • Electronic transfers: Move money from your Wallet to linked bank accounts or debit cards.
  • Wallet balance storage: Hold a balance in your Wallet in supported currencies.
  • Linked card features: FINEMCA may offer the option to link a reloadable debit card for easier access to your funds.

You can access your Wallet and these services through the FINEMCA mobile app or website.

2. Eligibility and Account Types

FINEMCA offers two types of accounts: Personal Accounts and Business/Merchant Accounts. Each type has specific eligibility criteria, features, and usage conditions:

2.1 Personal Accounts:

The personal account consists of two tiers, a (i) Basic Account that limits monthly transactions to a maximum of CAD 1,000 and a (ii) Premium account that allows for monthly transactions over CAD 1,000 with a maximum of CAD 5,000.

  • Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction), reside in a country or territory where FINEMCA is operational, and provide accurate and verifiable personal information. Only one personal account is allowed per individual.
  • Permitted Use: Personal accounts are for individual use, not for commercial or business purposes. Personal accounts allow for P2P transfers, payments for personal goods and services, donations to charities, and other non-commercial transactions.
  • Restricted Activities: Personal accounts cannot be used for unauthorized business transactions or commercial sales unless explicitly approved by FINEMCA. Engaging in unauthorized commercial transactions may result in account suspension or closure.

2.2 Business/Merchant Accounts:

  • Eligibility: Businesses, including sole proprietorships, corporations, and other legal entities, may apply for a business/merchant account. Business accounts require additional verification, including proof of business registration, tax identification numbers, and other relevant documentation.
  • Permitted Use: Business accounts allow merchants to receive payments for goods and services, issue refunds, manage inventory payments, and integrate FINEMCA services into their websites or applications.
  • Approval Process: Business accounts are subject to FINEMCA's approval process. If approved, the business is required to comply with all applicable laws and FINEMCA's business policies.

3. Identity Verification and Account Security

To comply with regulatory requirements and safeguard against fraud, FINEMCA requires users to verify their identity. The specific requirements vary based on the account type:

3.1 Personal Accounts:

  • Information required: Full name, date of birth, government-issued ID number (e.g., Passport, Government ID, Driver’s license, Social Security Number or Tax Identification Number), and a valid phone number and email address. In certain cases, the physical address may also be required.
  • Failure to provide valid and accurate information may result in restricted access or account closure.

3.2 Business Accounts:

  • Information required: Business name, business address, tax identification number, proof of incorporation and the personal details of the authorized account holder and of the UBO’s.
  • Additional identity verification steps may be required for businesses engaged in certain regulated industries.

Account Security: You are responsible for safeguarding your login credentials, including passwords and any personal identification numbers (PINs). Do not share your credentials with unauthorized persons. If you suspect unauthorized use of your account, you must notify FINEMCA immediately. FINEMCA is not liable for losses arising from unauthorized access to your account due to negligence in securing your credentials.

4. Use of Your FINEMCA Digital Wallet

After successfully enrolling for and verifying your Digital Wallet account, you can use it for a variety of financial activities:

4.1 Sending and Receiving Payments:

  • Personal Payments: You can use the Wallet to send money to or request money from other FINEMCA users. These transactions may be initiated via email, phone number, or by selecting a contact within the FINEMCA app.
  • Payments to Merchants: You can make purchases from authorized merchants using your Wallet balance or linked payment methods, such as debit/credit cards or linked bank accounts. Payments to merchants must be authorized for each transaction.

4.2 Transactions Between Users:

  • Users should only engage in transactions with trusted contacts. You must ensure that any payment made is intended for legitimate, non-commercial purposes, unless transacting with an authorized business account.
  • Transactions for the sale of goods and services between personal accounts are strictly prohibited unless explicitly authorized by FINEMCA.

4.3 Merchant Profiles and Payment Options:

  • Businesses may integrate FINEMCA payment solutions into their e-commerce platforms, allowing customers to pay for goods and services via FINEMCA.

5. Restricted and Prohibited Activities

FINEMCA is committed to ensuring compliance with all applicable laws and regulations. Certain activities are strictly prohibited or require prior approval before they can be conducted through your FINEMCA account. If you engage in prohibited activities or violate this Agreement, FINEMCA reserves the right to suspend or terminate your account, reverse or block transactions, and report such activities to relevant authorities.

5.1 Prohibited Activities

You may not use your FINEMCA Digital Wallet to engage in any of the following activities:

  • Illegal Activities:
    • Transactions that violate any local, provincial, federal, or international law, statute, ordinance, or regulation.
    • Engaging in fraudulent schemes or activities, including but not limited to money laundering, tax evasion, pyramid schemes, Ponzi schemes, and unauthorized credit card transactions.
    • Dealing in goods or services that promote or support criminal activities, including but not limited to, drug trafficking, human trafficking, or terrorist financing.
  • Prohibited Goods and Services:
    • Narcotics and Controlled Substances: Transactions involving the sale or purchase of narcotics, steroids, prescription drugs, and other controlled substances that are not legally authorized.
    • Counterfeit or Stolen Goods: Engaging in the sale of counterfeit items, including imitation goods, stolen property, or digital goods obtained through illegal means (e.g., hacked accounts).
    • Firearms, Explosives, and Ammunition: Transactions involving firearms, ammunition, explosives, or accessories regulated under applicable law.
    • Tobacco and Alcohol: The sale of non-cigarette tobacco products, e-cigarettes, cigars, and alcoholic beverages without the proper legal authorization.
    • Sexually Explicit Content: Transactions involving adult content, including pornography, escort services, and any form of adult entertainment unless explicitly permitted by FINEMCA in jurisdictions where such activities are legal.
    • Hate Speech or Discriminatory Content: Transactions that promote violence, hatred, racial or gender discrimination, or any form of intolerance.
  • Regulated Financial Activities:
    • Unlicensed Money Transmission: Engaging in money transmission services, currency exchange, or check cashing businesses without proper licensing and approval from regulatory authorities.
    • Gambling and Betting: Participation in gambling, online gaming, sports betting, or lottery ticket sales where such activities are not permitted by local law or without proper licenses.
    • Pyramid or Ponzi Schemes: Any transactions associated with illegal investment schemes, such as get-rich-quick programs, multi-level marketing programs without legitimate products, or schemes designed to defraud individuals.
    • Cryptocurrency: Transactions involving digital currencies (e.g., Bitcoin) or virtual currencies that do not comply with FINEMCA's policies, or where cryptocurrency services are not legally allowed in your jurisdiction.
  • Illegal Financial Practices:
    • Fraudulent Payments: Including knowingly accepting payments made using stolen or compromised payment methods (credit cards, bank accounts, or FINEMCA accounts).
    • Bribery and Corruption: Engaging in the exchange of payments or goods for the purpose of bribing public or private officials or participating in any form of corruption.

5.2 Activities Requiring Pre-Approval

The following activities require explicit prior approval from FINEMCA before they can be conducted through your Digital Wallet. Engaging in any of these activities without the proper approval may result in account suspension or termination:

  • Transportation Services:
    • Operating or providing payment services for airlines, jet charters, air taxi operators, or other scheduled or non-scheduled transportation services.   • Charities and Non-Profits:
    • Collecting donations on behalf of charities or non-profit organizations without proper registration and approval from regulatory bodies.
  • High-Value Items:
    • Operating as a dealer in precious metals, gemstones, rare collectibles, or other high-value items that may be subject to additional financial regulations.
  • Payment Facilitation:
    • Providing third-party payment facilitation services, such as acting as a payment processor for other merchants or businesses that may fall under the definition of a money service business (MSB) or an electronic money institution.
  • Financial Services and Investments:
    • Offering or facilitating investments in stocks, bonds, commodities, mutual funds, forex trading, or other financial products without proper licenses.
  • Gambling, Gaming, and Sweepstakes:
    • Conducting any form of online gambling, casino games, sports betting, or other games of chance involving an entry fee and prize.
  • Telemedicine Services:
    • Providing remote healthcare, telemedicine services, or other medical consultations that may require proper healthcare licensing.
  • Cryptocurrency and Digital Assets:
    • Facilitating transactions involving cryptocurrency exchanges, non-fungible tokens (NFTs), or virtual assets where digital currencies can be traded, transferred, or used for payments.

5.3 Other Restricted Activities

You may not use your FINEMCA Wallet for activities that:

  • Show personal information of third parties in violation of applicable data protection laws (e.g., General Data Protection Regulation, California Consumer Privacy Act).
  • Support pyramid schemes, Ponzi schemes, or other "get rich quick" schemes.
  • Involve the sale of items before the seller has control or possession of the goods.
  • Engage in transactions aimed at financing or refinancing debts using credit cards.

6. Fees and Transaction Limits

FINEMCA imposes fees for certain services, and limits may apply to the amount of money that can be sent, received, or withdrawn from your Wallet:

6.1 Fees:

  • Internal Transfers/Payments: May be subject to a fee for sending or receiving money between friends and family using your Wallet balance.
  • External Transfers/Payments: Subject to a fee for transfers to or from a linked debit card or bank account. These fees vary by region and transfer amount.
  • Currency Conversion: For international transactions, currency conversion fees apply when using the Wallet for payments in foreign currencies. Conversion rates are based on prevailing market rates at the time of the transaction.

6.2 Limits:

  • Personal Accounts: Limits may be placed on the amount you can send, receive, or withdraw based on your account status and transaction history.
  • Business Accounts: Higher transaction limits may be available to business accounts, subject to additional verification and approval.

7. Direct Deposit and Remote Check Capture

FINEMCA offers features that allow users to deposit funds directly into their Wallet:

7.1 Direct Deposit:

  • Eligible users can set up direct deposit to receive regular payments such as salaries or government benefits directly into their Wallet.
  • Direct deposits may be subject to verification before funds are credited to your account.

7.2 Through authorized cash agents

The list of the cash agents will be made available on our website.

8. Holding and Using Funds

Funds in your FINEMCA Wallet may be held in a pooled account at a regulated financial institution. These funds are not insured by the FDIC or any other deposit insurance program unless explicitly stated. You will not earn interest on funds held in your Wallet.

9. Transferring Funds Out of Your Wallet

Users can transfer funds out of their Wallet by:

  • Standard Bank Transfers: Funds may be transferred to a linked bank account at an additional fee plus the banking cost for this transaction. Processing times may vary based on your bank’s policies.
  • Instant Transfers: For a fee, users may instantly transfer funds to a linked debit card.

FINEMCA reserves the right to review transfers for suspicious activity. Transactions may be delayed, blocked, frozen, or canceled if illegal or fraudulent activity is suspected or if so required for compliance reasons.

10. Dispute Resolution and Arbitration

All disputes or claims arising from your use of FINEMCA services are subject to binding arbitration. This means that any legal action will be resolved individually through arbitration rather than in court. You agree not to join any class-action lawsuits or other collective proceedings against FINEMCA.

11. Privacy and Data Protection

FINEMCA is committed to protecting your personal information in compliance with applicable privacy laws. Your data will be collected, stored, and shared in accordance with our Privacy Policy, available at https://finemca.com/privacy-policy.

By using FINEMCA services, you agree to receive electronic disclosures, notifications, and communications related to your account.

12. Closing Your Account

You may close your FINEMCA account at any time by following the account closure procedure on our website. However, you remain liable for any pending transactions or obligations associated with your account, even after closure.

Your account may not be closed if:

  • You have unresolved disputes or claims.
  • There are pending transactions or holds on your account.
  • You owe any amounts to FINEMCA.
  • Your account is subject to investigations in connection with AML and/or Terrorist Financing laws.

13. Amendments to this Agreement

FINEMCA reserves the right to modify or amend this Agreement at any time. We will notify you at least 21 days before the changes take effect so you can decide if the changes negatively impact your rights or increase your obligations. Continued use of FINEMCA services after changes are implemented constitutes acceptance of the modified Agreement.

14. Limitation of Liability

FINEMCA is not liable for any indirect, incidental, or consequential damages resulting from your use of the services, including but not limited to loss of profits, data, or goodwill. Our total liability is limited to the amount of fees paid by you in the six months preceding the event giving rise to the claim.
